INDEPENDENT CONTRACTOR AGREEMENT

 

This independent contractor agreement is made by and between the Central Florida Ice Hockey Officials Association, Inc.., a Florida corporation, hereinafter referred to as “CFIHOA”, and _______________________________, hereinafter referred to as “Independent Contractor.”

 

In consideration of CFIHOA placing Independent Contractor on its roster of officials to officiate games with CFIHOA and CFIHOA affiliate institutions, the above named individual certifies that he/she has voluntarily joined CFIHOA in order to receive assignments to officiate ice hockey contests contracted for by CFIHOA and shall make himself/herself available to CFIHOA to provide said services until this agreement is revoked by either party.

 

The parties agree and acknowledge that the relationship between CFIHOA and the Independent Contractor pursuant to this agreement shall be as independent contractor and not as employer-employee. Independent Contractor acknowledges that he/she is assuming all risk of injury while serving as an official pursuant to this agreement. Independent Contractor acknowledges that for contest fees collected by CFIHOA on behalf of Independent Contractor and subsequently remitted to Independent Contractor, CFIHOA or any CFIHOA affiliate institution will not deduct or withhold any taxes, unless required by law or court order, and that all payments will be subject to reporting to the Internal Revenue Service and other taxing authorities by appropriate form. Independent Contractor further acknowledges that CFIHOA may deduct dues, fines, assessments, and other voluntary contributions so indicated by Independent Contractor from any contest fees due to Independent Contractor.

 

Independent Contractor shall not, under any circumstances, have any authority to act for or to bind CFIHOA or to sign the name of CFIHOA or to otherwise represent that CFIHOA is in any way responsible for his acts or omissions.  Independent Contractor shall not have any authority to create any contract or obligation, express or implied, on behalf of, in the name of, or binding upon CFIHOA.

 

Independent Contractor acknowledges that he/she will have access to sensitive contractual information regarding CFIHOA and that he/she will not disclose it, in any manner, or use it at any time for any purpose not directly involving CFIHOA business.

 

Independent Contractor acknowledges and understands that he/she is responsible for officiating all contests assigned to and accepted by them by the rink scheduler, or rink coordinators. Independent Contractor further acknowledges that membership in CFIHOA does not obligate the rink scheduler to make any minimum number of contest assignments nor ensure that he/she will officiate any contests at a certain level and that assignments will be based upon his/her availability and demonstrated ability to officiate at certain levels.

 

Independent Contractor agrees to hold harmless, defend and indemnify CFIHOA, its officers, Board of Directors, Committee members, and CFIHOA customers from and against all liabilities, claims and suits arising out of or related to Independent Contractor errors or acts of omission related to the Independent Contractor providing officiating services to the institutions pursuant to the agreement. Independent Contractor agrees to hold harmless and indemnify CFIHOA, its officers, Board of Directors, Committee members, and its customers from any and all injuries or damages suffered by Independent Contractor unless such injury or damage is caused solely by the willful misconduct or gross negligence of CFIHOA, its officers, Board of Directors, Committee members, or its customers.

 

 

 

Independent Contractor certifies that as part of his/her duties and obligations under this agreement, he/she shall:

  • Provide CFIHOA a completed W-9 form.
  • Cooperate with the Board of Directors and Committee members when so requested and provide answers to inquiries within 10 days of the date of such requests;
  • Act in a professional manner and in accordance with USA Hockey On-Ice Officials Code of Conduct and other standards, the CFIHOA Constitution, and the CFIHOA Standard Operating Procedures Manual;
  • Wear the uniforms prescribed by USA Hockey and CFIHOA;
  • Arrive at contest sites within time frames prescribed by the Board of Directors, or league;
  • Confirm all game assignments;
  • Provide rink schedulers as much notice as possible when canceling an assignment and not cancel any accepted assignment within twenty-four hours of the assignment except for extreme emergencies (i.e., family death, medical emergency, job requirements, etc.);
  • Not switch or otherwise reassign any game assignment without the knowledge and advance permission of the rink scheduler;
  • Notify the Scheduler within the prescribed time frame of any contest involving the assessment of a game misconduct or match penalty or an irregular, controversial, or unusual incident; a forfeit, or a contest canceled for any reason;
  • Comply with physical and/or other fitness requirements as may be determined by the Board of Directors;
  • Not publicly criticize any sports official;
  • Pay all dues, assessments, and fines on or before the due date prescribed.

 

Independent Contractor acknowledges that he/she has received a copy of the CFIHOA Constitution and Standard Operating Procedures manual, has read and understands both documents, and agrees to adhere to the standards and procedures set forth in each document.

 

Independent Contractor may terminate this agreement upon written notice to CFIHOA. Upon the termination of this agreement for whatever reason: (a) all obligations of the parties hereunder shall cease; (b) CFIHOA shall pay the Independent Contractor all contest fees due up to the date of termination (minus any outstanding dues, fines, and assessments); and (c) Independent Contractor shall return all documents and property of CFIHOA to an authorized CFIHOA representative. The obligation of Independent Contractor to not disclose or use any sensitive contractual information regarding CFIHOA for an entity other than CFIHOA shall survive the termination of this agreement.

 

This agreement may be executed in several counterparts, each of which shall be deemed an original. Such counterparts shall together constitute one and the same agreement.

 

This agreement cannot be assigned by either party without the other’s prior written consent, except in connection with a merger, reorganization, or sale of substantially all of the assets of CFIHOA.

 

The provisions of this agreement shall be binding upon the parties and the respective heirs, executors, administrators, successors and assigns. The failure of a party to enforce this agreement shall not be construed as a waiver of any provision or the right of such party thereafter to enforce each and every provision of this agreement.

 

This agreement shall be governed and construed in accordance with the laws of the State of Florida.

 

 

 

Any notice or other communication under this agreement shall be considered given when delivered personally or delivered by first class mail or express courier service (such as DHL Courier or Federal Express Courier) to the parties at their respective addresses set forth in this agreement.

 

This agreement constitutes the entire agreement between CFIHOA and the Independent Contractor. There are no other promises or conditions of any other agreement, whether oral or written, unless they are attached specifically to this agreement. If any provision of this agreement shall be held invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court of law finds any provision of this agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced under those limitations.
